This is an agreement ("Agreement") between you and lARP64Tech company ("lARP64Tech"). This Agreement governs your use of any Web site or Web page operated by lARP64Tech ("Web Site" or "Site"). You confirm that you are at least 18 years of age and have attained the age of majority in the province, state or country in which you reside, and any information that you submit is correct. If You are using the Web Site on behalf of Your employer, You represent and warrant that You are authorized to accept these Terms on Your employer's behalf, and that Your employer agrees to indemnify You and lARP64Tech for violations of these Terms.

4. Content submitted to lARP64Tech
4.1 lARP64Tech does not claim ownership of the Content You place on the Web Site and shall have no obligation of any kind with respect to such Content. Unless otherwise stated herein, or in lARP64Tech's Privacy Policy, any Content You provide in connection with this Web Site shall be deemed to be provided on a non-confidential basis. lARP64Tech shall be free to use or disseminate such Content on an unrestricted basis for any purpose, and You grant lARP64Tech and all other users of the Web Site an irrevocable, worldwide, royalty-free, nonexclusive license to use, reproduce, modify, distribute, transmit, display, perform, adapt, resell and publish such Content (including in digital form). 5. Delivery of email
lARP64Tech will attempt to deliver all of the e-mail that is addressed to Your e-mail address on lARP64Tech's Services. However, the nature of e-mail is such that lARP64Tech cannot guarantee delivery of such e-mail.
6. Indemnity
You agree to indemnify and hold lARP64Tech and its subsidiaries, affiliates, shareholders, officers, directors, agents, licensors, suppliers, alliance members, other partners, employees and representatives harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Your Content, Your use of or connection to the Web Site (including any use by You on behalf of Your employer), Your violation of the Terms, or Your violation of any rights of another.

You acknowledge and agree that lARP64Tech is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. lARP64Tech will not be responsible or liable, directly or indirectly, for any actual or alleged damage or loss caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.
9. Intellectual Property Rights
9.1 Your use of any software associated with the lARP64Tech Web Site will be governed by the terms and conditions of the end user license agreement ("EULA") accompanying such software. If you receive any software that is not accompanied by a EULA, then lARP64Tech grants to you a non-exclusive, revocable, personal, non-transferable license to use such software solely in connection with the lARP64Tech Web Site and in accordance with this Agreement. lARP64Tech reserves all rights to such software not expressly granted to you in this Agreement. Such software is protected by copyright and other intellectual property laws and treaties. lARP64Tech or its suppliers own the title, copyright, and other intellectual property rights in such software, and such software is licensed, not sold. You will not disassemble, decompile, or reverse engineer, such software, except and only to the extent that such activity is expressly permitted by applicable law. lARP64Tech may automatically check your version of such software and may automatically download upgrades to such software to your computer to update, enhance and further develop the lARP64Tech Web Site.
10. lARP64Tech makes no warranty
lARP64Tech provides the web site "as is," "with all faults" and "as available," and the entire risk as to satisfactory quality, performance, accuracy, and effort is with you. To the maximum extent permitted by applicable law, lARP64Tech makes no representations, warranties or conditions, express or implied. lARP64Tech disclaims any and all warranties or conditions, express, statutory and implied, including without limitation (1) warranties or conditions of merchantability, fitness for a particular purpose, workmanlike effort, accuracy, title, quiet enjoyment, no encumbrances, no liens and non-infringement, (2) warranties or conditions arising through course of dealing or usage of trade, and (3) warranties or conditions that access to or use of the web site will be uninterrupted or error-free. 13. lARP64Tech's privacy policy
You consent to the collection, processing and storage by lARP64Tech of Your personal information in accordance with the terms of lARP64Tech's Privacy Policy, which is available at http://www.larp64.com/privacy.html. You agree to comply with all applicable laws and regulations, and the terms of lARP64Tech 's Privacy Policy, with respect to any access, use and/or submission by You of any personal information in connection with this Web Site.
14. General Terms
14.1 You agree that any material breach of Sections 2, 3, 4, 6, and 9 of the Terms will result in irreparable harm to lARP64Tech for which damages would be an inadequate remedy and, therefore, in addition to its rights and remedies otherwise available at law, lARP64Tech will be entitled to equitable relief, including both a preliminary and permanent injunction, if such a breach occurs. You waive any requirement for the posting of a bond or other security if lARP64Tech seeks such an injunction.
14.2 International law and controlling U.S. federal law govern any action related to the Terms and/or Your use of the Web Site. Choice of law rules of any jurisdiction and the United Nations Convention on Contracts for the International Sale of Goods will not apply to any dispute under the Terms. You and lARP64Tech agree to submit to the personal and exclusive jurisdiction of the courts located within the country of choice of lARP64Tech.
14.3 lARP64Tech reserves the right to change the terms, conditions, and notices under which it offers its Web Site. 9.2 "lARP64Tech Trademarks" means all names, marks, brands, logos, designs, trade dress, slogans and other designations lARP64Tech uses in connection with its products and services. You agree to comply with the lARP64Tech Trademark and Logo Usage Guide located at http://www.larp64.com You may not remove or alter any lARP64Tech Trademarks, or co-brand your own products or material with lARP64Tech Trademarks, without lARP64Tech's prior written consent. You acknowledge lARP64Tech's rights in lARP64Tech Trademarks and agree that any use of lARP64Tech Trademarks by You shall inure to lARP64Tech's sole benefit. You agree not to incorporate any lARP64Tech Trademarks into Your trademarks, service marks, company names, Internet addresses, domain names, or any other similar designations, for use on or in connection with computer or Internet-related products, services or technologies.
9.3 lARP64Tech is committed to respecting others' intellectual property rights, and we ask our users to do the same. If You believe that Your work has been copied in a way that constitutes copyright infringement on our Web Site, please contact lARP64Tech at: http://www.larp64.com
9.4 Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights, whether by implication or otherwise. Permission is granted to display, copy, distribute and download Content owned by lARP64Tech on this Web Site provided that: (a) the copyright notice pertaining to the Content remains, and a permission notice (e.g., "Used with permission") is added to such Content; (b) the use of such Content is solely for personal and non-commercial use; (c) such Content will not be copied or posted on any networked computer or published in any medium, except as explicitly permitted by valid permission or license covering such materials; and (d) no modifications are made to such Content. 4.2 lARP64Tech does not routinely monitor Content, but lARP64Tech and its designees reserve the right to monitor, restrict access to, edit or remove any Content that is available via the Web Site.
4.3 lARP64Tech or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, new products or technologies, marketing plans or product names. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings or disputes when lARP64Tech's services, products or marketing may appear similar to ideas submitted to lARP64Tech. So, please do not send your unsolicited ideas to lARP64Tech or anyone at lARP64Tech. If, despite our request that you not send us your ideas and materials, you still send them, please understand that lARP64Tech makes no assurances that your ideas and materials will be treated as confidential or proprietary.
4.4 Other languages than English are only provided for your ease of use. The main language used is English and any mistakes due to translation or otherwise are taken into account for discussion: refer to the main language in case of doubt.
3.2 Your obligations regarding Confidential Information expire five (5) years after the date of disclosure. Upon termination of the Terms or lARP64Tech's written request, You must cease use of Confidential Information and return or destroy it.
3.3 The Terms impose no obligation upon You with respect to Confidential Information that You can establish by legally sufficient evidence: (a) You possessed prior to Your receipt from lARP64Tech, without an obligation to maintain its confidentiality; (b) is or becomes generally known to the public through no act or omission by You, or otherwise without violation of the Terms; (c) You obtained from a third party who had the right to disclose it, without an obligation to keep such information confidential; (d) You independently developed without the use of Confidential Information and without the participation of individuals who have had access to it, or (e) in response to a valid order by a court or other governmental body, as otherwise required by law, or as necessary to establish the rights of either party under these Terms and as disclosed after prior notice to lARP64Tech adequate to afford lARP64Tech the opportunity to object to the disclosure.
2. Your obligations and conduct
2.1 In consideration of Your use of the Web Site, You agree to: (a) provide accurate, current, and complete information about You as may be prompted by a registration form on the Web Site (the "Registration Data"); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any information You provide to lARP64Tech, to keep it accurate, current and complete; and (d) accept all risks of unauthorized access to information and Registration Data. You have sole responsibility for adequate protection and backup of data and/or equipment used in connection with the Web Site.
This agreement contains disclaimers of warranties and liability (see sections 10, 11, and 12); and an exclusive remedy (see section 11). these provisions form an essential basis of our bargain.
